End-User License Agreement — The Cornerstone Admin Power Toolkit

Plain-English summary (informational only — the license below governs): You bought a license, not the product itself. One admin, one license. Use it for your own admin work as much as you want, on as many tenants as you personally admin. Don't share the file, don't upload it anywhere public, don't resell it, don't build a competing product from it. If you do any of those, the license terminates and we can revoke your download access. Your purchase entitles you to free updates as long as we publish them. Cornerstone OnDemand is not us — we're commentary, they're the product.

1. Definitions

"Product" — "The Cornerstone Admin Power Toolkit," consisting of the PDF playbook, the /code/ bundle, the safe HTML test page, and any updates we publish to any of these.
"You" or "Licensee" — the natural person who purchased a license to the Product through Gumroad. A license is granted to a person, not an organization.
"Tenant" — any Cornerstone OnDemand instance on which You hold administrative permissions in the ordinary course of Your employment or independent contracting work.
"Authorized Use" — the use described in Section 3 below.
"Prohibited Use" — the use described in Section 4 below.

2. Grant of license

Subject to your compliance with this Agreement, we grant you a non-exclusive, non-transferable, non-sublicensable, worldwide, revocable license to use the Product solely for your Authorized Use. This is a license, not a sale. We retain all right, title, and interest in the Product, including all copyright, trademark, trade secret, and other intellectual property rights.

Your license is for one (1) natural person — the named purchaser. If you change employers, the license follows you (it's tied to the person, not the tenant), provided your Authorized Use continues to apply.

3. Authorized use

You may:

a. Read and study the Product PDF and all included recipes, patterns, and explanations. b. Run the recipes, scripts, and patterns on any Cornerstone OnDemand Tenant on which you personally hold administrative permissions, within your existing permission scope and consistent with your employer's IT and acceptable-use policies. c. Adapt the recipes for your tenant's specific configuration — change OU IDs, Subject IDs, URLs, tenant-specific identifiers, and any other tenant-specific values needed for the recipe to function in your environment. Adapted recipes remain governed by this Agreement. d. Copy short excerpts of the Product (no more than one (1) section per excerpt, no more than five (5) excerpts in aggregate) for personal note-taking or for educating colleagues within a single conversation, provided the excerpts include attribution to the Product and a link to the purchase page. e. Make backup copies of the Product files for your personal use, provided each backup remains protected and is not accessible to any other person.

4. Prohibited use

You may not:

a. Share, distribute, transmit, transfer, or otherwise make available the Product or any portion of it (PDF, code files, test page, or excerpts beyond Section 3d) to any other person, by any means (email attachment, file-sharing service, cloud-storage share, repository, internal company wiki, training portal, Slack channel, Discord server, public forum, social-media upload, etc.). b. Resell, sublicense, rent, lease, or commercially distribute the Product or any portion of it. c. Upload the Product to any public, third-party, or commercial file-sharing, document-hosting, or AI-training service. d. Use the Product to train, fine-tune, evaluate, or benchmark any machine-learning model, large language model, or AI system. e. Use the Product as input to, source material for, or competitive reference for any competing toolkit, playbook, training course, e-book, or commercial publication aimed at Cornerstone OnDemand administrators. f. Use the Product to provide consulting, implementation, or training services to third parties unless you have purchased a separate team or service license (see Section 9). g. Reverse-engineer, decompile, or attempt to derive the source of any compiled component of the Product. (The Product is primarily plain-text Markdown and uncompiled JavaScript / PowerShell; this clause covers any future binary or obfuscated component.) h. Remove or alter any copyright, trademark, attribution, or license notice in the Product. i. Use the Product in any manner that violates applicable law, your employer's policies, your Cornerstone OnDemand license terms, or any contract you are subject to.

5. Team and organization licenses

A single license is for one person. If your team, department, or organization wishes to deploy the Product to multiple administrators, you must obtain a team or organization license. Contact controller@recipeconsolellc.com for pricing. Team licenses include:

Named seats (one (1) named administrator per seat)
Internal-only distribution within the licensed organization
The same Prohibited Use restrictions in Section 4, applied at the organization level

Training vendors, consulting firms, and service providers who wish to use the Product as part of services delivered to clients require a separate service license; contact us for terms.

6. Updates

As described in the Terms of Sale Section 6, your license includes free updates for as long as we publish updates to the Product. Updates are delivered via Gumroad. Updated versions of the Product are governed by this Agreement; you may not redistribute an update any more than you may redistribute the original Product.

7. Watermarking

We reserve the right to embed per-purchase watermarks in PDF copies of the Product. Watermarks identify the purchase associated with a specific copy. If a copy is found in circulation outside the licensed person's possession, the watermark establishes the source. Watermarking is informational only and does not affect any term of this Agreement.

8. License revocation

If you breach this Agreement, we may, in addition to any other remedy available to us:

Terminate your license effective immediately upon written notice
Revoke your Gumroad download access
Disable any associated license keys
Demand that you destroy all copies of the Product in your possession
Pursue legal remedies, including injunctive relief and damages

Revocation does not entitle you to a refund.

9. Survival

The following sections survive termination of this Agreement: Section 4 (Prohibited use), Section 8 (License revocation), Section 11 (Disclaimers), Section 12 (Limitation of liability), Section 13 (Indemnification), and Section 15 (Governing law and dispute resolution).

10. Intellectual property

We retain all right, title, and interest in the Product, including all copyright, trademark, trade-secret, and other intellectual property rights. The Product contains proprietary research, original written explanation, and original code patterns. No license to any patent, trademark, or other IP is granted except as explicitly stated in Section 2.

The recipes, scripts, and patterns in the Product are largely original work derived from independent research against the Cornerstone OnDemand admin user interface. Where they incorporate or reference public Cornerstone OnDemand documentation, function names, or URL patterns, they do so under the doctrine of nominative fair use; no claim is made to Cornerstone OnDemand's intellectual property.

11. Disclaimers

The Product is provided "as is," without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the Product is free of errors or will continue to function across Cornerstone OnDemand releases. See Terms of Sale Section 8 for the full disclaimer.

You are solely responsible for evaluating each recipe before running it in your Tenant and for any consequence of running a recipe in your Tenant.

12. Limitation of liability

Our liability is limited as described in Terms of Sale Section 9. Our aggregate liability under this Agreement is limited to the amount you paid for the Product.

13. Indemnification

You agree to defend, indemnify, and hold harmless Recipe Console LLC and its members, officers, employees, contractors, and agents from any third-party claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Product, (b) your violation of this Agreement, or (c) any action you take on a Cornerstone OnDemand Tenant or other system using or referencing the Product.

14. Cornerstone OnDemand disclaimer

Cornerstone OnDemand is a trademark of Cornerstone OnDemand, Inc. We are not affiliated with, endorsed by, sponsored by, or otherwise connected to Cornerstone OnDemand, Inc. The Product is independent commentary based on the public administrative user interface of Cornerstone OnDemand and on the licensee's own administrative permissions. Use of the Product does not affect your Cornerstone OnDemand license; you remain bound by your separate agreement with Cornerstone OnDemand, Inc.

15. Governing law and dispute resolution

This Agreement is governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or related to this Agreement will be brought exclusively in the state or federal courts located in Gwinnett County, Georgia.

16. Miscellaneous

Entire agreement. This Agreement (together with the Terms of Sale and Privacy Policy) is the entire agreement between you and us regarding the Product.
Severability. If any provision is held unenforceable, the remaining provisions remain in full effect.
No waiver. Our failure to enforce a provision is not a waiver.
Assignment. You may not assign this Agreement. We may assign in connection with a merger, acquisition, or asset sale.
Changes. We may modify this Agreement; material changes will be communicated via the email on file. Continued use after a revision constitutes acceptance.
